CollSoft Solutions In Software Limited (COLLSOFT) (c) 1999 - 2014 Software Licence Agreement SAVE THIS LICENCE FOR FUTURE REFERENCE Please read carefully the following terms and conditions before opening the packaged diskette(s), or before running our program if it has come to you unpackaged. Running the program or opening the packaged diskette indicates your acceptance of the terms and conditions set out in this Agreement. If you do not agree with the terms and conditions return the packaged diskette(s) unopened and your payment price will be refunded. COLLSOFT provides the software program on the packaged diskette(s) together with or apart from accompanying copyrighted media and documentation relating thereto (hereafter described as the Licenced Documentation) and licences its use under this agreement. The "Customer" in this Licence refers to the person registered as the authorised user with COLLSOFT. 1. Software Licence Agreement COLLSOFT in consideration of the payment by the Customer of the licence fee payable in connection herewith (including any VAT thereof) to COLLSOFT Limited or the appointed Dealer hereby grants and the Customer hereby accepts subject to the terms and conditions a non- transferable and non-exclusive licence to use the software program on the packaged diskette(s) herewith (hereafter described as the Licenced Program) for a period of one Income Tax Year. 2. Term This agreement is effective from the date of receipt of the above-referenced program(s) and shall remain in force until terminated by the Customer upon one (1) month's prior written notice. The Customer agrees upon such termination to destroy or return to COLLSOFT all Licenced Programs and the Licenced Documentation. COLLSOFT may discontinue any licence or terminate this Agreement if the Customer fails to comply with any terms and conditions of this agreement or goes into bankruptcy, liquidation or receivership. The Licenced Program contains confidential information of COLLSOFT and all copyrights, trademarks and all other intellectual property rights in the Licenced Program and the Licenced Documentation are the exclusive property of COLLSOFT. The Licence is effective until terminated. 3. Licence The Program Licence granted under this agreement authorises the Customer to use the Licenced Program in any machine readable form on one single-user computer system if the software purchased under this licence. If the software purchased is multi-user software the Customer may use the Licenced Program in any machine readable form on a multi-user computer system. This agreement and any of the licences, programs, or documentation to which it applies may not be assigned, sub-licenced, or otherwise transferred by the customer without prior written consent from COLLSOFT. No right to print or copy, in whole or in part, the Licenced Program or the Licenced Documentation is granted except as hereinafter expressly provided or provided under law notwithstanding contractual provisions to the contrary. 4. Permission to Copy or Modify Licenced Programs The customer shall NOT copy, in whole or in part, the Licenced Documentation. Additional copies of printed materials may be acquired from COLLSOFT or its authorised distributors. The Licenced Program(s) which are provided by COLLSOFT in machine readable form may be copied, in whole or in part, in sufficient number for the use by the customer with the Licenced System for backup purposes or for archive purposes only. The Customer agrees to maintain appropriate records of the number and location of all such copies of the Licenced Program. 5. Protection & Security The Customer agrees not to provide or otherwise make available the Licenced Program or the Licenced Documentation to any person other than his employees and/or agents without prior written consent of COLLSOFT. 6. Discontinuances Within one(1) month after the date of discontinuance or termination of the Licence under this Agreement, the Customer will furnish COLLSOFT a certificate verifying that through his best effort, and to the best of his knowledge, the original and copies, in whole or in part in any form, including partial copies or modifications of the Licenced Program and documentation received from COLLSOFT or made in connection with such Licence have been destroyed or returned. 7. Limited Warranty COLLSOFT warrant the diskette(s) on which the Licenced Program is furnished to be free from defects in materials and workmanship under the normal use for a period of ninety(90) days from the date of delivery to the Customer as evidenced by a copy of the Customer's receipt. All other representations, conditions or warranties, whether expressed or implied, statutory or otherwise, or breach of any term implied by law (including all terms implied under Part II of the Sale of Goods & Supply of Services Act 1980) are hereby excluded save where such exclusion is prohibited by statute law notwithstanding contractual provisions to the contrary. Subject to the above limited warranty, the Licenced Program is provided "as is" without representation, condition or warranty of any kind, expressed or implied, including but not limited to, any implied conditions or warranties of merchantability or fitness for a particular purpose save such conditions or warranties that may be implied by statute notwithstanding provisions to the contrary. No warranty is given that the functions contained in the Licenced Program will meet the Customer's requirements or that the operation of the Licenced Program will be uninterrupted or error free. 8. Limitations of Remedies COLLSOFT's entire liability and the Customer's exclusive remedy shall be: the replacement of any diskette, cassette or Licenced Program which does not meet COLLSOFT's "Limited Warranty" and which is returned to COLLSOFT or an authorised COLLSOFT dealer with a copy of your receipt within the said period of ninety(90) days, or if COLLSOFT or a distributor of COLLSOFT is unable to deliver a replacement diskette which meets COLLSOFT's "Limited Warranty" the customer may terminate this agreement by returning the Licenced Program together with the Licenced Documentation and the Customer will be refunded. In no event will COLLSOFT be liable to the Customer for any damage, including any lost profits, lost savings or any other incidental or consequential damages arising out of the use or inability to use such Licenced Programs even if COLLSOFT or a COLLSOFT distributor or dealer has been advised of the possibility of such damages or for any claim by any other party. If any of the provisions or portions thereof, of this Agreement are invalid under any applicable statute or rule of law, they are to that extent to be deemed omitted. 9. General This Agreement is made under the laws of Ireland. The Customer acknowledges that he has read this agreement, understands it and agrees to be bound by its terms and conditions and has been informed of the limit which COLLSOFT makes upon its liability. He further agrees that it is the complete and exclusive statement of the Agreement between the Customer and COLLSOFT which supersedes any proposal or prior agreement, oral or written, and any other communications between the Customer and COLLSOFT relating to the subject matter of this agreement. The Customer acknowledges that COLLSOFT is making no warranties or representations and has no responsibility to the Customer under this Agreement or with respect to the Licenced Program. 10. Virus Checking The publisher, CollSoft Limited, has checked this CD-Rom for known viruses at all stages of production, but you are advised to check all programs and disks accessed on your PC yourself before using them, with an up to date virus scanner.
